Terms of sale

1. Scope

These terms apply to sales of goods by EnjoyGroup Sp. z o.o. (the Seller) to business customers (the Buyer). We do not sell to consumers. Individual offers and order confirmations take precedence over these terms.

2. Offers and orders

Offers are valid for 14 days unless stated otherwise. A contract is concluded when the Seller confirms the order in writing (including email) after the Buyer accepts the offer.

3. Prices and payment

Prices are net in EUR unless agreed otherwise. Standard terms: 30–50 % deposit on order confirmation, balance before delivery. Goods remain the property of the Seller until paid in full.

4. Samples and specification

The approved sample and the written specification are the reference for production and inspection. Normal tolerances of mass production (colour shades, dimensions ±3 %) are acceptable.

5. Delivery

Delivery terms (Incoterms 2020) and estimated dates are stated in the order confirmation. Transport times depend on carriers and are estimates; delays caused by force majeure, port congestion or customs controls do not constitute a breach.

6. Inspection and complaints

The Buyer shall inspect the goods on delivery and report visible damage on the delivery note. Quality complaints must be submitted within 14 days of delivery with photos and quantities. The Seller will repair, replace, credit or refund at its option.

7. Liability

The Seller’s liability is limited to the value of the order concerned and excludes lost profits, except in cases of intent or gross negligence.

8. Intellectual property

The Buyer warrants that logos and designs supplied for private label orders do not infringe third-party rights. Designs and tooling paid for by the Buyer belong to the Buyer.

9. Law and jurisdiction

Polish law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The court competent for the Seller’s registered office has jurisdiction.
